1. Introduction

AI Exiter (“the Platform”) is operated by AI Exiter, a company registered in England and Wales (company number 16932866), with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ.

The Platform is a free marketplace that connects sellers of AI products (SaaS applications, agents, chatbots, APIs, and similar digital products) with potential buyers.

By accessing or using the Platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Platform.

By creating an account, you confirm that you meet these requirements and that all information you provide during registration is accurate and complete. You agree to keep your account information up to date.

3. The Platform

AI Exiter is a marketplace that connects buyers and sellers of AI products. We provide a venue for listing, discovering, and enquiring about AI products for sale.

• All listings undergo manual review before publication. We reserve the right to reject or remove any listing at our sole discretion.
• We are not a party to any transaction between buyers and sellers. All negotiations, agreements, and transactions take place directly between the parties.
• We do not provide escrow, payment processing, or any financial intermediary services.
• We do not guarantee the accuracy, completeness, or reliability of any listing information.

We strive for continuous availability but do not guarantee uninterrupted access to the Platform. Services may be temporarily unavailable for maintenance or due to circumstances beyond our control.

4. User Responsibilities

4.1 All Users

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access.

4.2 Sellers

Sellers must provide accurate and complete information in their listings, have the legal right to sell the products they list, and promptly disclose any material changes that affect a listing.

4.3 Buyers

Buyers are solely responsible for conducting their own due diligence before entering into any transaction. We do not verify the claims made by sellers and accept no liability for the outcome of any transaction.

5. Prohibited Conduct

You must not use the Platform to:

• List fraudulent, stolen, or illegal products
• Misrepresent business metrics, ownership, or any material facts
• Spam, harass, or abuse other users
• Scrape, harvest, or systematically collect data from the Platform
• Create multiple accounts to circumvent restrictions or manipulate the Platform
• Infringe on the intellectual property rights of others
• Circumvent any security or verification measures

We may suspend or terminate accounts that engage in prohibited conduct without prior notice.

6. Intellectual Property

All Platform content, features, and functionality (excluding user-submitted content) are owned by AI Exiter and are protected by applicable intellectual property laws.

You retain ownership of content you submit to the Platform. By submitting content, you grant us a worldwide, royalty-free, non-exclusive licence to use, display, reproduce, and distribute that content solely as necessary to operate and provide the Platform.

7. Disclaimers and Limitation of Liability

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing on the Platform constitutes legal, financial, or business advice. You should always consult qualified professionals before making any transaction decisions.

We are not liable for any disputes, losses, or damages arising from transactions between users of the Platform.

To the maximum extent permitted by law, the total liability of AI Exiter and its directors, officers, and employees arising out of or in connection with the Platform shall not exceed GBP 100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

8. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first to attempt to resolve any disputes informally.

9. General

9.1 Amendments

We may update these Terms from time to time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

9.2 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AI Exiter regarding the Platform.

9.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

9.4 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.

9.5 Assignment

You may not assign your rights or obligations under these Terms. We may assign our rights and obligations to any successor or affiliate.

9.6 Account Termination

You may close your account at any time by contacting us. We may suspend or terminate your account for violation of these Terms or conduct harmful to the Platform or its users. Upon termination, your right to use the Platform ceases immediately.
